PURPOSE. The purpose of the Lincoln Unitarian Foundation shall be to acquire property, both real and personal, by gift or bequest, and to provide for its increase by suitable investment to support the building, its contents, the grounds, and special programs of the Unitarian Church of Lincoln.

BOARD OF TRUSTEES. The Board of Trustees of the Foundation (called the Foundation Board) shall be composed of seven members, none of whom may be members of the Board of Trustees of the Church (called the Church Board). The membership of the Foundation Board shall be appointed by the Church Board. New term appointments to the Foundation Board shall be made at the May meeting of the Church Board, while appointments to serve unexpired terms shall be made by the Church Board as, and when such vacancies occur. Except when appointed to serve an unexpired term, members of the Foundation Board shall serve a term of four (4) years and until their successors are duly qualified. No member of the Foundation Board may serve more than two (2) consecutive terms of any length. Any member of the Foundation Board may be removed by a two-thirds (2/3) vote of the voting membership of the Church Board.

OFFICERS AND COMMITTEES. The Foundation Board shall organize itself annually within thirty (30) days after each May meeting of the Church Board and shall select from among its membership a President, Vice President, and Secretary, to fulfill the duties normally incident to such offices. The Foundation Board shall select a Foundation Treasurer. If not a regularly appointed member of the Foundation Board, the Foundation Treasurer shall be a non-voting member. The Minister and the President of the Church Board shall also be ex-officio non-voting members of the Foundation Board. The Foundation Board may appoint such committees from the membership of the Church as are necessary for carrying out the purposes of the Foundation.

MEETINGS. The Foundation Board shall meet at least quarter-annually at such times and places and upon such notice as the Foundation Board shall determine. Meetings shall be called by the President of the Foundation Board within one week of receipt of a written request of any three members of the Foundation Board. A quorum for the conduct of business shall be four (4) voting members.

POWERS AND DUTIES. The Foundation Board shall have and exercise the powers necessary to carry out the purpose expressed above and in the Articles of Incorporation, as follows:

A. Categories of Funds. To set up, categorize and publicize funds within its own structure, including but not limited to:

1. An undesignated endowment fund for the purpose of building up capital investments, which may be used in a manner consistent with these Bylaws;

2. Designated endowment funds to be used or held as requested in writing by the donor or by the family or next of kin of a person in whose memory the gifts were made, as approved by the Church Board. Where, due to impracticality and not to the neglect or fault of the Foundation or the Church, the principal or income of a designated gift, or any part thereof, remains unexpended after more than one year following acceptance of same, such unused money may be transferred into the undesignated endowment fund unless such transfer is prohibited by the express written terms of the gift.

B. Expenditures. To expend Foundation assets for the following purposes:

To support the building, its contents, the grounds, and special programs of the Unitarian Church of Lincoln, as approved by the Church Board;

To defray the operating expense of the Foundation.

C. Investments. To invest in such a manner as is consistent with protecting and developing the Foundation assets.

D. Solicitation. To solicit donations by suitable means consistent with the dignity and standards of the Church and in a manner that will not materially impair Church efforts to solicit general operating revenues.

E. Regulations. To adopt and amend regulations and resolutions consistent with these Bylaws and the Articles of Incorporation, as it deems necessary or expedient.

ADOPTION AND AMENDMENT OF BYLAWS. These Bylaws are adopted by and provided by the Church Board and are subject to amendment only by the Church Board at any regular or special meeting of the Board, thirty (30) days after the proposed amendments have been mailed to members of the Unitarian Church of Lincoln by the Church Board Secretary.
