Nebraska Association of the Blind Incorporated
Articles & By-laws as revised August 13, 2005

 

Article I
Name: the name of this organization shall be The Nebraska Association of the Blind Incorporated

 

Article II
Purpose: The purpose of this organization shall be to promote the education, economic, social, and the general welfare of the blind.

 

Article III
Duration: This organization shall be incorporated in perpetuity.

 

Article IV
Board of Directors: The business of this organization shall be conducted by a board of directors which shall be seven in number, consisting of four officers of the corporation, and three additional members of the organization. All members of the board of directors shall serve two -year terms. A quorum of no less than four members of the board of directors shall be necessary in order to transact business at any board meeting. The president shall appoint committees with the authority of the board of directors.

 

Article V
officers: The executive officers of the corporation shall be president, vice president, secretary, and treasurer. The president and the vice president shall be blind or visually impaired.

 

The majority of the board of directors shall be blind or visually impaired.

 

The president shall be the chairman of the board of directors.
In case a board member is not able to attend a board meeting or special meeting he/she should contact highest ranking officer in that city to notify that officer of the absence, who in turn will notify the president, and a decision will be made whether there will be enough board members to conduct business. All officers shall perform those duties ordinarily associated with that office.

 

Article VI
Duties of officers: The duties of the executive officers shall be:

President shall preside over all meetings and have full control over all meetings, shall communicate with executive officers and board members, notify board of any changes in meeting time.

 

Vice-president will take over the duties of the president, in case of absence or disability of the president, will communicate with the president on matters of concern, work with the secretary on correspondence if necessary.

 

Secretary will take minutes at all meetings, have a copy of membership lists available, will write any correspondence/have minutes available in some form of print as well as Braille, if he/she uses Braille.

 

Treasurer shall deposit money for organization, shall keep records of all transactions, shall keep a current membership list, give reports at all board meetings and convention provide a copy of treasurer’s report to the president for his/her records.

 

The president’s signature must accompany the treasurer’s signature on any checks written over $100.00.

 

Any money that is in savings, C.D., money markets, etc will require both signatures. -Treasurer and president, as well as approval of the board of directors before any withdrawals are made.

 

Article VII
Members: The organization shall have one class of voting members. Anyone sixteen years of age or older may become a voting member of the organization by paying the dues as prescribed in the by-laws. Voting by proxy or absentee ballot shall not be permitted.

 

Article VIII
Elections: the members of the organization at the regular annual meeting of the organization shall elect the officers and additional members of the board of directors. The Election shall be done by secret ballot. The president, secretary, first board member, and third board member shall be elected in odd number-years, and vice-president, treasurer, and second board member shall be elected in even numbered years. All officers and board member shall serve a two-year term, with the exception of an unexpired term, not withstanding these provisions upon adoption of these amendments, election shall be held by the members of the organization to fill all offices or board positions.

 

Article IX
Vacancies: In the event of a vacancy on the board of directors the board shall fill the position by election, and the person elected to fill such vacancy shall serve out the balance of the unexpired portion of the term of the office or board position he/she is elected.

 

Article X
expulsion or removal from the board of directors: Any member may be expelled from the organization or removed for inappropriate conduct. Removal or expulsion from the board of directors for any of the following reasons.

1. Embezzlement or misuse of organizational funds or property.
2. Gross neglect dereliction of duty.
3. Gross abuse of power, authority.

 

In order for expulsion or removal from the board of directors to be effected, each of the following steps must have been complied with. Before a member of the organization or have the board of directors is expelled.

1. A thirty day written notice to the accused of the charges against him/her.
2. A reasonable opportunity to present a defense.
3. A two-thirds majority vote by those members present and voting at any regular or special meeting of the organization in favor of the expulsion or removal from the board of directors.

 

Article XI
Amendments: These articles may be amended by a two-thirds majority vote by those members present and voting at any regular or special meeting of the organization.

 

Article XII
by-laws: The organization may adopt by-laws to assist in the internal administration of the affairs of the organization.

 

By-laws may be adopted or amended by a simple majority vote of those members of the organization present and voting at any regular or special meeting of the organization, provided a thirty day notice has been given.

 

Article xiII
Dissolution: In case The Nebraska Association of the Blind should dissolve, the assets of the organization will be donated to The Nebraska Center for the Education of Children who are Blind or Visually Impaired in Nebraska City to be used at their discretion of projects for the blind or visually impaired, children or adults.

 

Article XIV
Effect and adoption: Adoption of these amendments and any accompanying by-laws shall constitute a revocation of all former articles of incorporation and by-laws or of the organization.
